RouteShare — Terms of Service

1. Who we are
RouteShare is a freight-matching brokerage service operated by TradieNotes Limited (NZ company number 9430220, NZBN 9429053679192), trading as RouteShare. RouteShare is not a separate legal entity — references to "RouteShare," "we," "us," and "our" in these terms mean TradieNotes Limited. Our registered office is shown on the NZ Companies Register (app.companiesoffice.govt.nz/co/9430220).
2. What RouteShare is — and isn't
RouteShare connects customers who need freight moved within New Zealand with independent drivers who have spare vehicle capacity on a route they are already driving.
RouteShare is a broker, not a carrier. We do not own vehicles, employ drivers, or physically handle, store, or transport any goods. Once a driver accepts a job, that driver — not RouteShare — is responsible for the safe collection, transport, and delivery of the goods.
Drivers on RouteShare are independent contractors, not employees or agents of RouteShare. RouteShare does not verify a driver's licence, vehicle warrant of fitness, or insurance, and does not guarantee driver availability for any given route or time.
3. How it works
- A customer contacts RouteShare via WhatsApp, opting in by sending a specific consent message, and provides details of the item, pickup location, drop-off location, and required vehicle size. RouteShare calculates and shows a quote at this point — no payment is requested yet.
- RouteShare sends a summary of the job (the item description, pickup and drop-off towns, and the driver payout) to drivers registered on a matching route and vehicle class. The first driver to accept is given the customer's contact details, and the customer is given the driver's, so they can arrange a specific collection time directly with each other.
- If no driver accepts the job within 48 hours, the request expires automatically and nothing is charged.
- Once the customer confirms the arranged time with RouteShare, a payment link is sent. The customer must complete payment within 30 minutes of confirming, or the booking is automatically released and nothing is charged — the customer is welcome to request a new quote if this happens.
- Payment is only requested once a driver has already agreed to the job. Once payment is completed, the booking is confirmed. If you need to cancel after paying, contact us as soon as possible. If the driver hasn't collected yet, we will refund you, less any cost we can't recover; if the job can't go ahead because of the driver or because of us, we refund in full.
4. Pricing and payment
Quotes are calculated from distance and the declared vehicle size and are shown in full before payment is requested. All amounts are in New Zealand dollars. Payments are processed by Stripe; RouteShare never sees or stores your card details.
The price includes the driver's payout and RouteShare's brokerage fee. TradieNotes Limited is not currently registered for GST, so prices shown do not include GST. This will be revisited if annual turnover approaches the $60,000 threshold at which GST registration becomes compulsory.
5. Vehicle size, items, and what we won't move
Customers must select the vehicle size that genuinely matches the item being moved and describe it accurately. RouteShare matches jobs to drivers based on this information. If the item does not match the declared size or type when a driver arrives, the driver may decline the job; contact us and we will work out a fair outcome (for example, a refund less any cost already incurred, or a re-quote for the right vehicle).
RouteShare can't be used to move dangerous goods (as defined in NZ land transport rules), anything illegal to possess or transport, live animals, or cash and valuables such as jewellery. A driver may refuse any item they reasonably believe falls into these categories or is unsafe to carry.
6. Liability
To the maximum extent permitted by law:
- RouteShare is not liable for loss, damage, delay, or theft of goods in transit. Liability for the physical transport of goods rests with the driver who accepted the job, as the carrier. Carriage of goods in New Zealand is governed by Part 5 of the Contract and Commercial Law Act 2017, which limits a carrier's liability unless a different basis is agreed.
- RouteShare does not provide insurance for goods being transported. Customers should consider their own insurance for valuable or fragile items.
- RouteShare provides the matching service "as is" and does not guarantee that a driver will be available for any particular route, time, or item.
- Where RouteShare is liable to you, our total liability for any job is limited to the amount you paid for that job, except where the law doesn't allow that limit.
- If you are a consumer: nothing in these terms excludes or limits any right or remedy you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot lawfully be excluded.
- If you are using RouteShare for business purposes: you agree that the Consumer Guarantees Act 1993 does not apply, as permitted by section 43 of that Act, and that it is fair and reasonable for you to be bound by this.
7. Driver terms
By registering as a driver, you confirm that you:
- Hold a valid driver's licence appropriate to your vehicle, and current vehicle registration, warrant of fitness (or certificate of fitness), road user charges where applicable, and insurance.
- Are acting as an independent contractor, not an employee or agent of RouteShare, and are responsible for your own tax.
- Are the carrier for any job you accept, and are solely responsible for the safe transport of the goods and for any loss or damage while they are in your care.
- Will handle any customer contact details you receive only for the purpose of completing the job, and not for any other purpose.
The payout shown in a job offer is what RouteShare pays you for that job. We pay it by bank transfer to the account you give us, after the job is completed; we'll ask for your bank details when you claim your first job. You can leave the roster at any time by messaging us.
8. Privacy
TradieNotes Limited (trading as RouteShare) collects and holds the personal information described here, in line with the Privacy Act 2020.
What we collect: your WhatsApp name and phone number and the messages you send us. Customers: pickup and drop-off locations, item descriptions, the vehicle size needed, and any collection-time note. Drivers: your name, vehicle type, regular routes, and the bank account we pay you into. Stripe collects card and payment details directly; we receive only the payment outcome.
Why: to run the matching service — calculating quotes, matching jobs to drivers, connecting a customer with the driver who accepts, taking payment, and keeping records we're required to keep. You don't have to give us this information, but we can't quote or match a job without it.
Who sees it:
- Drivers on a matching route and vehicle class see a job summary (item, towns, payout). Only the driver who accepts the job gets the customer's phone number, and that customer gets the driver's.
- Service providers that run parts of the service for us: Meta (WhatsApp messaging), Stripe (payments), Railway (hosting), and OpenRouteService (town names only, to calculate driving distance). Some of these store information outside New Zealand; they handle it on our behalf, to provide their service to us.
- We never sell your information and don't use it for marketing beyond RouteShare job messages you've opted into.
How long: we keep job and payment records for as long as needed for accounting and tax (currently 7 years in NZ). Other information, such as a driver's roster entry, is deleted when you ask us to or when it's no longer needed.
Your rights: you can ask to see or correct the personal information we hold about you, or ask us to delete it, by contacting us (see section 11). If you're not happy with how we've handled your information, you can complain to the Office of the Privacy Commissioner (privacy.org.nz).
9. Changes to these terms
RouteShare may update these terms from time to time. We will show the effective date at the top. Changes don't affect a job that has already been paid for. If we make a significant change, we will tell registered drivers by WhatsApp before it takes effect.
10. Governing law
These terms are governed by the laws of New Zealand, and any dispute is subject to the jurisdiction of the New Zealand courts.
